1. Work to be performed

The Service Provider will facilitate a state-approved CHW education program with 8 live sessions, access to the online classroom platform, mentorship from Public Health professionals, and course credentials for all those who complete the requirements.

It is understood that:

  1. The Service Provider and Organization will assist all students in their success.
  2. The Organization will help instructors reach and onboard students.
  3. Students will complete the coursework before their final class or discuss barriers with instructors in advance.
  4. Students will communicate if they cannot meet the timetables so that Service Provider can add them to other qualified sessions.
  5. Service Provider will not offer refunds for students who do not complete the course but will assist with opportunities to help students complete missing requirements when the student is ready to try again.

2. Responsibilities of the Service Provider

Service Provider agrees to host and manage qualified training experiences:

  • Assign qualified administrators to maintain digital resources for students.
  • Provide a qualified trainer and training materials as shown in the CHW Syllabus.
  • Have the coursework open and ready to be used on the dates specified for the Training.
  • Provide completion certificates for participants who complete training requirements.
  • Add students to the online platform within 7 days of their registration survey.
  • Collaborate with students and connected organizations to schedule learning sessions
  • Instruct 8 live sessions and one live makeup session.
  • Communicate the workload to students, so they can budget their time and complete.

Reports

  • Provide 3 updates during the training.
    1. Student Registration Report
    2. Unit 4 Progress Report
    3. Final Graduation Report

3. Payment Terms

  • Employers eligible to bill staffing costs from insurance or government grants may not be eligible for fully scholarshiped training.
  • Provide full payment to the Service Provider within 15 days of contract signature.
  • Rates:
    • $949/Student Individual Course Registration
    • $695/Student Group Rate for 3 or more students
    • Organization to contribute but can't pay the full cost (call for pricing)

4. Organization Responsibilities

  • Designate an administrator to communicate with the Service Provider about any specific requirements of the training program.
  • Receive written permission from the Service Provider before copying, reproducing, creating derivative works, publishing or further distributing training materials provided.
  • Have each student complete the Registration Survey at least 1 day before class with a unique and valid email address and accurate contact information.
  • Encourage students to turn their homework in on time and provide additional funding to grade student work if more than 15% of students need additional time beyond the final training date.

5. Data Ownership

  • Contact data is used by the Service Provider for operational purposes, to facilitate mutual aid, to utilize opt-in topical mailing lists, and to export to a spreadsheet for the Organization’s records. Data is retained for customer service, funding applications, reporting, and planning purposes.
  • Individual contact data is not sold and is subject to the terms posted here: spotlightaction.org/terms.
  • Students, survey participants, membership, and registered contacts may choose to modify or remove their data.
  • Copies of data collected through weblinks and interfaces for the Organization will be provided to the Organization.

6. Term & Termination

  • This Agreement ends Dec 31, 2026
  • Either party may terminate with written notice for any reason. Termination goes into effect 2 weeks after any active trainings reach their conclusion.
  • Service Provider will provide a copy of student progress data within 1 week of any termination notice.

7. Liability

  • Service Provider is not liable for Organization barriers (e.g., programmatic changes, cancellations, contributor disputes, venue management).
  • Organization shall defend, indemnify and hold the Service Provider, its employees, owners, and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or resulting from the acts, errors or omissions of the Organization in performance of this Agreement, except for injuries and damages caused by the sole negligence of the Service Provider.
  • Service Provider does not provide tax exempt status or donation receipts.

8. General

  • Nothing in this Agreement shall be read to make the employees or agents of either Party an employee or an agent of the other.
  • Nevada law governs this Agreement.
  • Amendments must be in writing and signed by both parties.
  • This Agreement and any Training offered pursuant to this Agreement is subject to the provisions of applicable laws and regulations, and Organization agrees that it will cooperate in any civil rights investigation regarding the services provided under this agreement.
  • Both parties agree that nothing in this agreement is intended to or shall be interpreted to transfer the ownership of any intellectual property owned by or licensed to the use of either party.
